End User License Agreement - Nexus

Effective Date: January 24, 2025

Introduction

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Deals Empire Inc. ("Company") for the use of Nexus software application ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the Software on devices owned or controlled by you
  • Use the Software solely for your internal business purposes
  • Access the features and functionalities provided by the Software

This license does not include the right to sublicense, sell, resell, or transfer the Software to any third party.

2. Restrictions

You may not, and you agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Modify, adapt, translate, or create derivative works based on the Software
  • Distribute, sublicense, lease, rent, or lend the Software to any third party
  • Remove, alter, or obscure any proprietary notices on the Software
  • Use the Software for any unlawful purpose or in violation of any applicable laws
  • Use the Software to transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any systems or networks connected to the Software

3. Ownership

The Software is licensed, not sold. The Company retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any rights to trademarks or service marks of the Company.

All copies of the Software made by you must contain the same proprietary notices that appear on and in the Software.

4. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

The Company does not warrant that:

  • The Software will meet your requirements
  • The Software will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Software will be accurate or reliable
  • Any errors in the Software will be corrected

5. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Software
  • Any conduct or content of any third party on the Software
  • Any content obtained from the Software
  • Unauthorized access, use, or alteration of your transmissions or content

6. Termination

This Agreement is effective until terminated. The Company may terminate this license at any time if you fail to comply with any term of this Agreement.

Upon termination:

  • All rights granted to you under this Agreement will immediately cease
  • You must stop all use of the Software
  • You must destroy all copies of the Software in your possession

7. Updates and Modifications

The Company may from time to time provide updates, patches, or new versions of the Software. Such updates may be automatically installed without providing any additional notice or receiving any additional consent.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Montreal, Quebec, Canada.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the use of the Software and supersedes all prior agreements and understandings.
